Stelent.com / Edgeware Inc. Broker Consent
INTRODUCTION
In this Consent, “customer”, “user”, “you”, “seller”, “buyer” and “your” refers to each customer or user and “stelent.com” refers to stelent.com, a service of Edgeware Inc., a company in Minnesota, USA | .com | .us | .xyz.
This Consent as described will apply in full force and effect to your use of the stelent.com website and/or engagement of stelent.com, and/or Edgeware Inc. and/or any team members of either and/or both. You expressly accept all Terms & Conditions contained herein full. Your use of the stelent.com website, consent with stelent.com and/or Edgeware Inc and/or any team member(s) of either and/or both signifies that you have read, understand, acknowledge and agree to be bound by this Consent.
OVERVIEW
Stelent.com and/or Edgeware Inc. provides service(s) to acquire and sell domain names, trademarks and social media names. Stelent.com and/or Edgeware Inc. may not be the owner of the domain name(s), trademark(s) and/or social(s) listed on the website. As a result, stelent.com has no control over the quality, safety or legality of the domain name(s), trademark(s) and/or social(s) listed. A listing may be withdrawn at any time by stelent.com and/or Edgeware Inc. with a 30 Day Notification by the registered seller and/or by stelent.com and/or Edgeware Inc.
Stelent.com and/or Edgeware Inc. use(s) a trusted third party for all upfront full payment and/or Down Payments and Installments for domain name(s), trademark(s) and social(s) transactions. The trusted third-party collects, holds and only disperses funds when both Buyers and Sellers are satisfied.
Stelent.com and/or Edgeware Inc. and all team members of with or both are not responsible and disclaims all liability in the event that the domain name(s), trademark(s) and/or social(s) transaction(s) fails to complete due to breach by the buyer or seller or failure of the buyer or seller to complete the transaction. Buyer does not obtain any rights in the registration of a domain name until completion of the transaction.
We reserve the right and may exclude, in our sole discretion, any domain name(s), trademark(s), and/or social(s) for any reason, including, but not limited to a violation of our Terms of Service & Conditions or other Terms of Service or infringement, or potential infringement, of a third party intellectual property right.
SELLER RESPONSIBILITIES
Seller agrees that upon consent from a buyer, seller will promptly follow the escrow process through the link provided by stelent.com
Seller agrees that as a part of the escrow transaction, the third party automatically pays stelent.com / Edgeware Inc. the agreed upon fee(s) and/or commission(s), and the seller pays all agreed to third party transaction fees, unless otherwise negotiated.
Seller agrees to disclose to stelent.com and/or Edgeware Inc. any facts regarding the domain name(s), trademark(s) and/or social(s) that may have arisen or of which Seller becomes aware before, during and after the domain name(s), trademark(s) and/or social(s) has/have been listed for sale with and/or by stelent.com and/or Edgeware Inc.
Seller shall not list a domain name(s), trademark(s) and/or social(s) for sale with stelent.com which may infringe upon or violate the intellectual property rights of other persons, for which Seller does not have registration rights or the authority to sell to third parties free and clear of all liens, claims, encumbrances, licenses and security interests, or a domain name(s) which is the subject of litigation, arbitration, claims, disputes, or other legal proceedings, either pending or threatened, or if so, Seller is responsible for any legal fees and all liability encountered by stelent.com and/or Edgeware Inc. and/or any team members.
Seller shall not solicit the sale of listed domain name(s), trademark(s) and/or social(s) outside of stelent.com and/or Edgeware Inc. and/or team members for the purpose of circumventing fees and/or commissions that would otherwise be due to stelent.com and/or Edgeware Inc.
BUYER RESPONSIBILITIES
Buyer consents that a Buy It Now payment constitutes an offer of a contract for the purchase of the said domain name(s), trademark(s) and/or social(s). Buyer also agrees that stelent.com is not contractually obligated to sell the domain name(s), trademark(s) and/or social(s) until a confirmation email has been received by the Buyer from (rep)@stelent.com and the contract has been fully signed by all parties involved in the transaction.
Buyer with representation by stelent.com agrees to pay agreed upon fee(s) and/or commission(s) for the Broker’s Service(s).
DISPUTE POLICY
You consent to be bound by the ICANN UDRP. The current version of the ICANN UDRP may be found at www.icann.org. You may also be subject to additional Registry specific dispute policies and you consent to be bound by those, as otherwise indicated in the Terms of Service & Conditions with those registries.
AGENT
You consent that, if your agent purchased our service(s) on your behalf, you are nonetheless bound as a principal by all Terms of Service & Conditions herein, including the ICANN UDRP and any other applicable Registry specific dispute policy, whether your agent was authorized by you or not. You certify that your agent is authorized to apply for our service(s) on your behalf, that your agent is authorized to bind you to the Consent and that your Agent has apprised you of all Terms of Service & Conditions of the Consent.
WEBSITE TERMS OF SERVICE & CONDITIONS
You consent that you are bound by all stelent.com site Terms of Service & Conditions, including but not limited to Intellectual Property Rights and Restrictions, User Content, and Disclaimers. The stelent.com site Terms of Service & Conditions may be found at stelent.com under the Contact Section.
LIMITATION OF LIABILITY
To the maximum extent permitted at law, none of stelent.com, Edgeware Inc. or its employees, the registrar or the registry will be liable for any direct, indirect, incidental, special or consequential damages resulting in any way from your Consent and/or your use or inability to use any of stelent.com and/or Edgeware Inc. service(s).
INDEMNITY
You hereby indemnify to the fullest extent stelent.com and/or Edgeware Inc. from any losses, damages, costs, liabilities, and expenses arising out of or in any way related to your breach of any provisions of the Consent.
ASSIGNMENT
Stelent.com and/or Edgeware Inc. shall be permitted to assign, transfer, and subcontract its rights and/or obligations under the Terms of Service & Conditions without any notification or consent required. However, you shall not be permitted to assign, transfer, or subcontract any of your rights under this Consent. Any attempt by your creditors to obtain an interest in your rights under this Consent, whether by attachment, garnishment or otherwise, will render this Consent voidable at stelent.com’s and/or Edgeware Inc.’s option.
GOVERNING LAW AND JURISDICTION
You agree that this Consent and any disputes hereunder with stelent.com and/or Edgeware Inc. will be governed in all respects by and construed in accordance with the state laws of Minnesota, USA and the Federal Laws of The United States of America (USA). You also agree that any disputes during the use of the escrow process will be governed in all respects by and construed in accordance with the Escrow Law of California, USA.
